Governing the Purchase, Use, and Disposition of All Roum Products

Preamble & Purpose

Roum LLC ("Roum," "we," "us," or "the Brand") is a direct-to-consumer fine jewelry house specializing in recycled 14k gold and conflict-free diamonds, handcrafted in a New York atelier. Each piece is designed, priced, and sold exclusively through roum.co to reach the end consumer at fair and transparent pricing that reflects the Brand's ethical sourcing commitments.

The unauthorized commercial resale of Roum products — including resale via third-party online marketplaces, secondhand platforms, brick-and-mortar retail, consignment, or any other channel — fundamentally undermines Roum's brand integrity, distorts market pricing, misrepresents product provenance, and causes material commercial harm to the Brand.

By completing a purchase on roum.co, each buyer enters into a binding contractual agreement with Roum and expressly consents to the terms set forth in this Policy. This Policy forms part of Roum's Terms of Sale and is incorporated by reference into every order confirmation.

I. Definitions
Buyer
Any individual or entity that purchases a Roum product through roum.co for personal, household, or gift use.
Reseller
Any person or entity that acquires Roum products with the intent to resell, redistribute, or profit from their disposition to a third party, whether or not such intent was disclosed at the time of purchase.
Unauthorized Resale
Any commercial transfer of a Roum product by a party other than Roum itself, in the absence of a duly executed Roum Wholesale Agreement.
Wholesale Agreement
A formal, written contract executed between Roum and an approved retail or distribution partner, authorizing the limited resale of Roum products under conditions specified therein.
Authorized Channels
Exclusively roum.co, and any other sales channel expressly designated in writing by Roum.
Marketplace Platform
Any third-party digital or physical venue enabling person-to-person or business-to-consumer commerce, including but not limited to eBay, Etsy, Depop, Poshmark, Amazon, Facebook Marketplace, The RealReal, StockX, Vestiaire Collective, and any equivalent services.
II. Prohibition on Unauthorized Resale

The purchase of any Roum product does not confer upon the Buyer the right to engage in commercial resale activity. The following are strictly prohibited absent a valid Wholesale Agreement:

  • Listing, offering, or selling any Roum product on any Marketplace Platform, whether new, worn, or altered.
  • Purchasing Roum products in bulk or in excess of reasonable personal-use quantities for the purpose of resale or commercial distribution.
  • Establishing any retail, consignment, or pop-up arrangement featuring Roum products without written authorization.
  • Using Roum's name, trademarks, product photography, or branding materials in connection with any unauthorized resale listing or promotion.
  • Representing a resold Roum product as new, unused, or as carrying any current Roum warranty, guarantee, or aftercare service.
  • Purchasing Roum products through coupon stacking, promotional codes, or discount schemes with the intent to resell at market value for profit.
  • Acting as an agent, intermediary, or broker in facilitating the resale of Roum products on behalf of a third party.
III. Legal Basis for Enforcement

Roum's anti-resale policy is supported and enforceable under multiple bodies of law:

  • Contractual Obligation. Completion of a purchase on roum.co constitutes acceptance of these Terms of Sale, creating a binding contract between the Buyer and Roum. Violation of this Policy constitutes a material breach of that contract, entitling Roum to seek monetary damages, injunctive relief, and any other remedies available under applicable law.
  • Trademark Law (15 U.S.C. § 1051 et seq.). Roum's name, logo, product imagery, and trade dress are protected trademarks. Use of these marks in any unauthorized resale listing may constitute trademark infringement and/or false designation of origin under the Lanham Act, regardless of whether the physical goods themselves are genuine.
  • Consumer Protection & Fraud Statutes. Unauthorized resellers who misrepresent the condition, provenance, warranty status, or authenticity of Roum products may be subject to claims under the FTC Act (15 U.S.C. § 45), state consumer protection statutes, and common law fraud.
  • Tortious Interference. Resale activities that intentionally disrupt Roum's customer relationships, pricing strategy, or distribution model may constitute tortious interference with business relations under applicable state law.
  • Unjust Enrichment. Commercial resellers who profit from the unauthorized exploitation of Roum's brand equity and goodwill may be liable for unjust enrichment under equitable principles.
IV. Online & Marketplace Platform Resale

The unauthorized listing of Roum products on any digital marketplace is an express violation of this Policy. Roum actively monitors major marketplace platforms, social commerce channels (including Instagram Shopping, TikTok Shop, and Pinterest), and secondhand luxury platforms for unauthorized listings. Upon identification of an unauthorized listing, Roum reserves the right to:

  • Submit formal takedown requests to the platform pursuant to its seller policies and applicable law.
  • Report the listing as a trademark violation under applicable platform intellectual property programs.
  • Initiate legal proceedings against the unauthorized seller for breach of contract, trademark infringement, and/or consumer fraud.
  • Permanently ban the seller from all future purchases on roum.co.
  • Pursue recovery of profits derived from unauthorized resale activity.
V. Wholesale & Authorized Retail Partnerships

Roum recognizes that certain retail partnerships may serve the Brand's growth objectives. Any party seeking authorization to carry or resell Roum products must apply for and execute a formal Wholesale Agreement. Wholesale inquiries may be submitted to wholesale@roum.co. An authorized wholesale relationship requires, at minimum:

  • Execution of Roum's standard Wholesale Agreement, including minimum order quantities, pricing schedules, and approved channels.
  • Compliance with Roum's MAP (Minimum Advertised Price) policy to protect brand positioning and consumer trust.
  • Adherence to Roum's brand guidelines governing the use of trademarks, product imagery, and descriptive copy.
  • Ongoing compliance reviews, with Roum retaining the right to terminate any wholesale relationship at its sole discretion.
  • Agreement not to sublicense, sub-distribute, or authorize further resale by any third party without Roum's express written consent.

The existence of a wholesale inquiry or negotiation does not constitute authorization. Only a fully executed, countersigned Wholesale Agreement constitutes valid authorization.

VI. Warranty Disclaimer for Resold Products

Roum's product warranty, aftercare services, and quality guarantees apply exclusively to products purchased directly through roum.co by the original end consumer. Any Roum product sold, transferred, or distributed through unauthorized channels is sold as-is, without any Roum warranty, certification, or representation of authenticity. Roum expressly disclaims all liability for products acquired through unauthorized resellers, including liability for defects, misrepresentation of materials, or failure to meet advertised specifications.

VII. Order Cancellation & Account Termination Rights

Roum reserves the right, in its sole discretion and without prior notice, to:

  • Cancel or refuse any order placed by a known or suspected reseller prior to fulfillment.
  • Limit the quantity of products any individual account may purchase within a given time period.
  • Terminate customer accounts upon evidence of resale activity, with or without refund depending on order status.
  • Pursue civil remedies against individuals or entities whose resale activity causes demonstrable harm to the Brand.
  • Share information regarding unauthorized reseller activity with marketplace platforms, legal counsel, and law enforcement as appropriate.
VIII. International Considerations

This Policy applies to all purchases made on roum.co regardless of the Buyer's geographic location. Buyers located outside the United States acknowledge that their local laws may impose additional restrictions on resale activity, including consumer protection laws, customs and import regulations, and foreign trademark protections. International buyers engaging in cross-border resale of Roum products may additionally be subject to customs fraud, misrepresentation of goods, and import duty evasion claims under applicable foreign law. Roum reserves the right to pursue enforcement action in any jurisdiction where harm to the Brand is demonstrated.

IX. Amendments & Updates

Roum reserves the right to amend, update, or supplement this Policy at any time. The current version of this Policy, as published on roum.co, governs all purchases made on or after its effective date. Continued use of roum.co following any update constitutes acceptance of the revised Policy. Buyers are encouraged to review this Policy prior to each purchase.

X. Governing Law & Dispute Resolution

This Policy shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any dispute arising under or in connection with this Policy shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York. In any action in which Roum prevails, Roum shall be entitled to recover its reasonable attorneys' fees and costs from the violating party.
